BY LAWS


  1. 1. 1. DREC STEERING COMMITTEE

    1.a. A Steering committee will be established from the sponsors. No less than 5 (Five) individuals will serve on the committee. Two members will be permanent. The other three will be elected by the entire group of DREC sponsors in attendance at a "road show" member meeting. The immediate tour will also have advisory members to the steering committee which shall be the tour speakers. Only 1 (one) individual can serve on the Steering committee from a single sponsor company at a time. Each sponsor company will have 1 (one) vote.

    1.b. Members of the Steering committee will serve until they resign or a new election is called for by a sponsor. They may be re-elected for additional terms at the discretion of the sponsors. Steering committee members should be able to attend all shows, regardless of geographical or territorial locations.

    1.c. In the event a Steering committee member resigns or can no longer perform his or her duties, the remaining members of the Steering committee shall appoint a replacement from the group of sponsors to complete the term.

    1.d. Meetings of the Steering committee shall take place at least once per calendar year. The purpose of these meetings is to plan for up coming "shows", to select sites for subsequent years, and to address the concerns of the sponsors. This meeting may take place via phone, internet or in person.

    1.e. It is the responsibility of the Steering committee to enforce the will of the sponsors and to see that all sponsors adhere to the charter and by-laws of DREC.

    1.f. The Steering committee will report to the sponsors within 60 (Sixty) days of the completion of each "show". This report will include pre-registration information, as well as actual show attendance, along with a complete financial accounting and their apportioned bill.

    1.g. The Steering committee will solicit comments, ideas, suggestions, recommendations and criticism from both the sponsors and participants. They will consider all of the above when planning the next "show".

    1.h. The Steering committee will review sponsor membership applications, and conduct sponsor membership reviews.

    1.i. The Steering committee has the responsibility of "show" integrity. No non sponsor solicitation is to be allowed. All violators will be asked to leave by the Steering committee.

    2. MEMBERSHIP
    2.a. Membership in DREC is limited by logistical size restrictions. It is the intention of the DREC sponsors to keep the "show" to a manageable size. The allocated space of 10 (ten) feet per sponsor and 20 (twenty) feet for the presenter requires a room of approximately 7,500 (seventy five hundred) square feet or more. Finding facilities with this minimum square footage is difficult at best, therefore it is estimated that no more that 25 (twenty five) companies can participate at any "show".

    2.b. DREC has a base of member sponsors, these sponsors will not be required to apply for membership. However, their continued membership will be subject to compliance with the charter and by laws.

    2.c. Application to become a sponsor in DREC will be reviewed by the Steering committee. They will have the final say as to who becomes a sponsor. The criteria that they will use is as follows:

    2.c.1. Space availability.

    2.c.2. Potential draw to participants.

    2.c.3. Ability to cover all territories.

    2.c.4. Need for product or service type to compliment the "show".

    2.c.5. Willingness to adhere to charter and by laws.

    2.d. Membership review will be conducted by the Steering committee upon the completion of each "show". It is their responsibility to inform a sponsor of non-compliance to the by laws or of their expulsion from DREC. The following are reasons for expulsion from DREC, this list is not complete and other reasons may apply.

    2.d.1. Non compliance to any of the by laws.

    2.d.2. Failure to pay apportioned share of "show" in a timely fashion.

    2.d.3. Unsuitability to the "show".

    2.d.4. Failure to participate in all aspects of the "show".

    2.d.5. Lack of participation at the "show".

    3. "SHOW" RULES
    3.a. Sponsor companies must be able to attend all sites of a show, ( show is meant to include one or more cities if applicable during a traveling road show ). If a sponsor has territorial considerations, they must apply to the Steering committee for a waiver from this rule. The Steering committee at its sole discretion will determine if a waiver is in the best interest of DREC. If possible, a suitable replacement for a sponsor whose waiver has been approved will be added in the affected show sites.

    3.b. Sponsors that do not sell in a given geographical area will not be penalized for non attendance. They will remain a viable part of DREC.

    3.c. Sponsors with the highest points will have first pick of sponsoring a show. One point will be awarded for each road show (IE : spring & Fall) attended. No points will be given if a sponsor misses a show. If a sponsor misses two consecutive shows they will loose all accumulated points unless otherwise decided by the steering committee.

    3.d. Sponsors should have sufficient people in attendance to cover their booth, but not so many as to detract from the "show". A sponsor representative must be employed by the sponsor or have a contractual obligation to the sponsor.

    3.e. Sponsors are not permitted to have local distributors or representatives working their booths. ( unless directly employed by the sponsor or a waver is given by the steering committee).

    3.f. Sponsors will be required to market the show by way of mailings, telemarketing, advertising or any pro-active means of obtaining participants. Individual direct mailings should follow the format of the DREC mailings. Sponsors are encouraged to contact DREC headquarters for assistance with their individual mailings.

    3.g. Each sponsor company will be required to name a "show" coordinator. This sponsor coordinator will be the main contact person between the sponsor and The DREC Steering Committee. He or she will be responsible for implementing the sponsors portion of pre-show marketing, complying with the requests of the DREC logistical coordinator, and for his or her companies compliance with the by laws.

    3.h. Each sponsor's on site representative must help with the set up and take down of the "show". The representative must be available to assist in unloading and loading the truck. This will be strictly enforced.

    3.i. Attendance at a "show" as a participant (attendee) by a individual employed by a company that is in competition with a participating sponsor will not be allowed.

    3.j. Any participant (attendee) found soliciting other participants will be asked to leave by members of the Steering committee.

    3.k. This show is to be a non hard sell show. All sponsors are to stress the educational part of the conference and the benefits of their particular product or service. Problem solving and directing the participant to the correct sponsor should be commonplace.
